Ongoing Compliance
Annual filings, statutory changes and a compliance calendar so deadlines never arrive unannounced. The maintenance layer that keeps a Bulgarian company in good standing.
- Deadline calendar mapped for the year
- Annual filings prepared and submitted
- Good standing maintained continuously
- Change filings directors, capital, address
What's included
The filings a company owes even in a quiet year
A registered Bulgarian company has obligations regardless of activity: annual financial statements filed with the registry, an annual corporate tax return, a declaration of beneficial ownership kept current, and prompt filings whenever a director, address or shareholding changes.
This service suits owners who want the maintenance handled and monitored rather than remembered. We hold your compliance calendar, prepare each filing ahead of its deadline, and file the changes that come up during the year.
You are told before a deadline, not after
Each obligation is on a calendar with reminders that reach you in good time. If a filing needs a decision or a signature from you, we ask weeks ahead — never the day before.

Questions, answered
If your question is not here, ask it on the discovery call — there is no charge for it.
What does a Bulgarian company have to file each year?
Annual financial statements with the Commercial Registry, an annual corporate tax return, and a current beneficial-ownership declaration. Companies with activity also file monthly VAT and payroll.
What happens if a deadline is missed?
Penalties, and for repeated or serious lapses the risk of forced deregistration. Most are avoidable; the compliance audit at the start finds anything already overdue.
I haven't filed for a year or two — can you fix it?
Yes. We bring the filings current, quantify any penalties, and then run the calendar forward so it does not recur.
Do you handle director and shareholder changes?
Yes. Changes to directors, registered address, capital and share transfers are Commercial Registry filings, all included in the retainer during the year.
Can you get a certificate of good standing?
Yes, on request — typically for opening a bank account, signing with a large customer, or a parent-company audit.
Ready to put your compliance on autopilot?
Book the call and we will audit where your company stands and quote the annual retainer from there.
